Terms and Conditions

Profit Inner Circle, LLC (hereinafter sometimes referred to as “contractor”) and the contractee (hereinafter sometimes referred to as “contractee”) do hereby enter into contract under the following terms and conditions.

1) Contractor hereby agrees to furnish the following:

1-Monthly Profit Enhancement Program (4 weeks) $10,000.00 value

  • Attend team meetings as a “fly on the wall”
  • Contractor agrees to report back to contractee actionable recommendations to increase revenue, lower operating costs/expenses (cost avoidance, cost savings, or flat-out productivity/efficiency gains), increase quality, improve productivity and improve overall business operations
  • Analyze existing policies and processes-including standard operating procedures and use of technology systems
  • Assess existing reporting structure and possibly team member compensation structure
  • Evaluate existing team members (knowledge, skills and abilities), suggest areas of improvement
  • Review existing performance management reports
  • The contractee understands that the contractor has existing scheduling commitments and agrees that the contractor will attend at least 32 meetings in total

2) In consideration of the services described above, contractee agrees to pay to contractor a discounted virtual consulting fee of $5,000.

a) One installment of $5,000 or

b) Two monthly installments of $2,500-first installment is due today

c) Second installment due 30 days later

d) Additional sessions/engagements requested of contractor outside the terms/conditions outlined above are subject to additional fees.

3) Contractee hereby agrees to the following-

a) Access to staff including collaboration/communication as needed

b) Access to required documents, systems, and resources needed to complete the engagement

4) 200% “Found Money” ROI Guarantee. At the end of the engagement, if Contractor has not delivered Contractee at least a 200% ROI, Contractor will refund 100% of the Contractee’s investment.

a) “Found Money” is a combination of increased revenue/sales opportunities, cost avoidance, cost savings, or flat-out productivity/efficiency gains projected over a 12-month period. 

b) “Found Money” calculation is based on the Contractor’s Found Money report which will be provided to the Contractee within 72 hours of the Monthly Profit Enhancement Program.

5) Contractor hereby agrees that the responsibility for payment of taxes from the funds thus received under this agreement shall be said contractor’s obligation.

6) Confidentiality of Information. Contractor recognizes and acknowledges that the business interests of Contractee requires a confidential relationship between Contractor and Contractee, and the Contractor will provide the fullest protection and confidential treatment of Contractee’s business information, including but not limited to new product ideas, financial data, lists of customers, lists of suppliers, special agreements with suppliers, market information, marketing and/or promotional techniques and methods, pricing information, purchase information, sales policies, employee lists, policy and procedure manuals, books and publications, records, advertising methods or schemes, computer records, trade secrets, know how, plans and programs, sources of supply, anything related to the operation of the business, and other knowledge of the business (hereinafter collectively known as "Confidential Information"), which may in whole or in part be conceived, learned or obtained by Contractor in the course of Contractor’s relationship with Contractee before, during, and at all times thereafter the term of this Agreement. Contractor agrees to keep secret and treat as confidential all Confidential Information, whether or not copyrightable or patentable, and agrees not to copy, use (directly or indirectly) or advise or aid others in learning of, copying or using any Confidential Information except within the scope of this Agreement, and in furtherance of Contractee’s interests. As to documents and all other media which are delivered to Contractor or which are made available to Contractor, as a necessary part of this working relationship, and duties of Contractor within the scope of this Agreement. Contractor will treat such documents and media confidentially and will treat such documents as proprietary and confidential, not to be reproduced, disclosed or used without appropriate written authority of Contractee.

7) If Contractor’s services meet or exceed Contractee’s expectations, Contractee agrees to provide a video testimonial to the Contractor at the end of the agreement and grants Contractor permission to use said testimonial in marketing/promotional efforts.

8) If the engagement is canceled due to an Act of God, emergency condition or dangerous situation, both parties agree to reschedule the engagement within 90 days with the same terms stated in this initial contract.
